6 Group Rules or Constitution for Non Profit Groups

Objectives of the Project
Payments to Members
No member of the [name of group] or any person associated with a member shall participate in or materially influence any decision made by the organisation in respect of the payment to or on behalf of that member or associated person of any income benefit or advantage what so ever.
Any such income paid shall be reasonable and relative to that which would be paid in arms length transaction (being the open market value). The provision and effect of this cause shall not be removed from this document and shall be included and implied into any document.
Winding Up
The project is to commence in [month and year] and the proposed completion date is [month and year]. If upon winding up or dissolution of the [name of group] there remains after the satisfaction of all its debts and liabilities any profit what so ever the same shall not be paid or distributed among the members of the [name of group]. Any surplus funds on liquidation of the group received from MAF Sustainable Farming Fund will be returned to the MAF Sustainable Farming Fund. Any funds received from other funding bodies shall be given or transferred to some other organisation or body having objectives similar to the objectives of the first organisation. If a body with similar objectives is not found any surplus funds will be returned to the funding body.
Altering the Rules
No addition to or alteration of the non profit aims, personal benefit clause or the winding up clause shall be valid without the prior approval of the Inland Revenue Department and the MAF Sustainable Farming Fund.
The provisions and the affect of this clause shall not be removed from this document and shall be included in and applied into any document replacing this document.
